Agreement to these terms
By accessing or using Caudit (the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
Eligibility
You must be able to form a legally binding contract in your jurisdiction to use the Service. You may not use the Service if you are prohibited from doing so under applicable law.
Description of the Service
Caudit provides cloud-based software for asset and inventory management, including tools for organizations to record, organize, and audit their assets. Features may change over time. The Service is provided for business and professional use unless we agree otherwise in writing.
Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of any unauthorized use. Organization administrators may control access to data within their tenant; your use may be subject to your organization's policies as well as these terms.
Acceptable use
You agree not to:
- Use the Service in violation of law or in a way that infringes others' rights.
- Upload or transmit malware, attempt to breach security, or disrupt the Service or other users.
- Scrape, harvest, or automate access to the Service except as we expressly permit (for example, documented APIs).
- Reverse engineer, decompile, or attempt to extract source code from the Service except where applicable law prohibits this restriction.
Customer data
You retain ownership of data you submit to the Service. You grant Caudit a limited license to host, process, back up, and display that data solely to provide and improve the Service and as described in any agreement between us. You are responsible for the legality of your data and for obtaining any consents or rights needed to use the Service with your data.
Intellectual property
Caudit and its licensors own the Service, including software, branding, and documentation. Except for the limited rights granted in these terms, no rights are transferred to you. You may not remove proprietary notices or use Caudit's marks without our prior written consent.
Third-party services
The Service may rely on third-party infrastructure, payment processors, or integrations. Those services are governed by their own terms. We are not responsible for third-party services outside our reasonable control.
Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, Caudit and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our aggregate liability for any claim arising out of these terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the claim or (b) one hundred U.S. dollars ($100), except where liability cannot be limited under applicable law.
Indemnification
You will defend and indemnify Caudit and its affiliates, officers, and employees against any third-party claims, damages, and costs (including reasonable attorneys' fees) arising from your use of the Service, your data, or your violation of these terms, except to the extent caused by our gross negligence or willful misconduct.
Suspension and termination
We may suspend or terminate access to the Service if you violate these terms, create risk or legal exposure for us, or if we stop offering the Service. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination (including ownership, disclaimers, limitation of liability, and governing law).
Changes to these terms
We may update these terms from time to time. We will post the updated version on this page and revise the "Last updated" date. If changes are material, we will provide additional notice where appropriate. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.
Governing law and disputes
These terms are governed by the laws of the United States, without regard to conflict-of-law rules. Disputes will be resolved in courts located in the United States, unless applicable law requires otherwise.
